1. Acceptance of Terms

By accessing or using the KokoBot platform ("Service") available at kokobot.chat, you ("User", "you", or "Business Owner") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

KokoBot provides an AI-powered sales chatbot and business management platform that enables businesses to:

• Automate customer interactions via Facebook Messenger, WhatsApp, Viber, and Website Widget.
• Receive, track, and manage customer orders through an integrated dashboard.
• Process point-of-sale (POS) transactions for in-store customers.
• Manage customer relationships, tags, and follow-up reminders (CRM).
• Schedule and manage customer appointments.
• Send broadcast promotional messages to opted-in subscribers.
• View sales analytics and performance reports.

3. Account Registration and Security

• You must provide accurate, current, and complete information when creating an account.
• You must be at least 18 years old to create an account and use the Service.
• You are solely responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.
• You are responsible for all activities that occur under your account.
• We reserve the right to suspend or permanently terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must NOT:

• Use the Service for any illegal activity or in violation of any applicable local, national, or international law or regulation.
• Send spam, unsolicited commercial messages, or bulk messages to users who have not opted in.
• Harass, threaten, abuse, or harm any person through the Service.
• Impersonate any person, business, or entity, or misrepresent your affiliation with any entity.
• Sell, offer for sale, or promote illegal goods or services, counterfeit products, or prohibited items.
• Use the Service to spread misinformation, malware, phishing links, or harmful content.
• Attempt to gain unauthorized access to, interfere with, or disrupt our systems, servers, or networks.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Use automated means to scrape, crawl, or harvest data from the Service without our written permission.
• Resell, sublicense, or white-label the Service without a written agreement from KokoBot.

5. Facebook and Meta Platform Compliance

If you use KokoBot with Facebook Messenger or any Meta platform, you additionally agree to:

• Comply with Meta's Platform Terms (https://developers.facebook.com/terms/) and all applicable Meta policies at all times.
• Comply with Meta's Messenger Platform Policy, including policies on subscription messaging, broadcast messages, and user consent.
• Obtain all necessary opt-ins and permissions from end users before sending them messages.
• Not use the Messenger integration for prohibited messaging categories as defined by Meta.
• Not misrepresent your business, products, or services in any chatbot conversation.
• Take sole responsibility for ensuring your chatbot flows, content, and usage comply with Meta's policies.
• Understand that KokoBot may be required to suspend your Messenger integration if Meta determines it violates their policies.

7. Intellectual Property

• KokoBot Platform: All rights, title, and interest in the KokoBot platform, software, branding, and documentation are owned by KokoBot. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service.
• Your Content: You retain full ownership of your business data, product information, conversation content, and any other content you upload or create through the Service.
• License to Operate: By using the Service, you grant KokoBot a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely to the extent necessary to provide the Service.
• Feedback: Any feedback, suggestions, or ideas you provide to us may be used by KokoBot without any obligation to compensate you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at kokobot.chat/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy. You are responsible for ensuring you have the legal right to collect and process any customer data you gather through the Service, including obtaining required consents under applicable privacy laws.

9. Uptime and Service Availability

We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance will be announced in advance where possible. We are not liable for any losses resulting from service downtime, API rate limits imposed by third parties (including Meta), or third-party service interruptions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the AI chatbot responses will always be accurate, appropriate, or error-free. You are responsible for reviewing and supervising the chatbot's interactions with your customers.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• KokoBot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• KokoBot's total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid for the Service in the three (3) months immediately preceding the claim.
• These limitations apply regardless of the legal theory on which the claim is based.

12. Indemnification

You agree to indemnify, defend, and hold harmless KokoBot and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Meta platform policies; or (d) any content transmitted through your account.

13. Termination

• You may cancel your account at any time through the dashboard Settings page. Cancellation takes effect at the end of your current billing period.
• We may terminate or suspend your account immediately, without prior notice, if you breach these Terms, violate Meta's platform policies, or if we are required to do so by law.
• Upon termination, your right to use the Service ceases immediately.
• You may export your business data before termination. After account deletion, data may be retained for up to 30 days before permanent deletion, except where longer retention is required by law.

14. Modifications to the Service and Terms

• We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
• We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the dashboard at least 14 days before the change takes effect.
• Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Myanmar. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the courts of competent jurisdiction in Yangon, Myanmar.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements you enter into with KokoBot, constitute the entire agreement between you and KokoBot regarding the Service and supersede all prior agreements or understandings.
